1. Who we are

Nyami (“Nyami,” “we,” “us,” or “our”) is a mindful eating companion under development and operated by founders based in Hungary. We help people understand their eating patterns and cultivate supportive habits. You can contact us at [email protected].

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement and have the authority to agree to these Terms.

3. Acceptable use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

• Access, copy, or use any portion of the Services for purposes other than your personal, non-commercial use without our written consent;
• Disrupt or interfere with the security or operation of the Services;
• Attempt to gain unauthorized access to the Services or related systems;
• Upload, transmit, or distribute any viruses, malware, or other harmful code.

4. Waitlist and communications

If you join the Nyami waitlist, you agree that we may contact you by email with updates, invitations, surveys, or promotional information about Nyami. You can opt out of these communications at any time by using the unsubscribe link in our emails or emailing us at [email protected].

5. Feedback

We love hearing from early supporters. If you provide feedback, ideas, or suggestions, you agree that we may use them without restriction or compensation, and that we own any resulting improvements.

6. Intellectual property

The Services, including all content, visuals, text, trademarks, and logos, are owned by or licensed to Nyami and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. You may not copy, modify, distribute, or create derivative works from our content without written permission.

7. No medical advice

Nyami is not a medical or mental health service and does not provide diagnosis, treatment, or medical advice. The Services are for informational and educational purposes only. Always seek the advice of qualified health professionals regarding your eating habits, health, or mental well-being.

8. Third-party services and links

The Services may contain links to third-party websites, tools, or services that are not controlled by Nyami. We are not responsible for the content or practices of those third parties. Your use of third-party services is at your own risk and subject to their terms and policies.

9. Disclaimer of warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the fullest extent permitted by law, Nyami and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, data, or goodwill arising out of or in connection with your use of the Services. Our total liability for any claim arising from the Services will not exceed one hundred U.S. dollars (USD $100) or the amount you paid us, if any, during the six months prior to the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Nyami and its affiliates harmless from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, without notice, if we believe you have violated these Terms or if we discontinue the Services. You may stop using the Services at any time.

13. Governing law

These Terms are governed by and construed in accordance with the laws of Hungary, without regard to conflict of law principles. Any disputes arising from these Terms or the Services will be resolved exclusively in the competent courts of Budapest, Hungary, and you consent to their jurisdiction and venue. If you reside in the European Union, you may also submit disputes for online resolution via the European Commission’s platform at https://ec.europa.eu/consumers/odr.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Effective” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
